1. Introduction
Welcome to SEYSOFT, an all-in-one, modular business management platform owned and operated by Nassau Technologies, LLC (“Company,” “we,” “us,” or “our”). By accessing or using SEYSOFT (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years of age to use SEYSOFT. By creating an account, you represent and warrant that you meet this requirement.
3. Account Registration and Accuracy of Information
You agree to:
- Provide accurate, complete, and current information when registering;
- Maintain and promptly update your information; and
- Keep your account credentials secure and confidential.
You are responsible for all activities under your account.
4. Prohibited Uses
You may not use the Service to engage in, promote, or facilitate any activity that is illegal, unlawful, fraudulent, infringing, or otherwise prohibited. This includes, but is not limited to:
- Engaging in illegal activities;
- Fraudulent conduct;
- Hacking, reverse engineering, bypassing, or attempting to bypass any security measures;
- Uploading, executing, or transmitting viruses, malware, or malicious code;
- Infringing intellectual property rights;
- Spamming, harassment, or abusive behavior toward any person or entity.
5. Subscription Fees and Refund Policy
- Fees: SEYSOFT operates on a recurring subscription model.
- No Refunds for Monthly Plans: Month-to-month subscriptions are non-refundable.
- Annual Subscription Refunds: Refunds are prorated based on the subscription start date and the month of cancellation, with the last day of the month used in all calculations.
- No Refunds for Termination Due to Policy Violations: If your account is terminated for violating these Terms, you are not entitled to any refund.
6. Termination
We may suspend or terminate your account at our sole discretion if we determine you have violated these Terms.
7. Dispute Resolution, Arbitration, and Class Action Waiver
- Exclusive Venue: All disputes shall be handled exclusively in the state and federal courts of Nassau County, New York.
- Arbitration: Any dispute shall be resolved exclusively through binding, confidential arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, unless it qualifies for small claims court.
- Class Action Waiver: You agree to bring claims only in your individual capacity, not as part of a class or representative action.
8. Limitation of Liability, Indemnification, and Governing Law
The following limitation of liability applies to all claims and disputes arising from your use of SEYSOFT:
Limitation of Liability
- No Liability for Third-Party Actions or Misuse
The Company Parties shall not be liable for any damages, losses, or liabilities arising from:
- Any misuse of the web application by you or any third party;
- Any illegal, unlawful, infringing, or unauthorized activity conducted through the platform;
- Any content, actions, or omissions of third parties;
- Any unauthorized access to, or use of, your account or data.
- “As-Is” and “As-Available” Basis
The web application is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
- Maximum Liability Cap
The total aggregate liability of the Company Parties to you shall not exceed the total amount of user fees you have paid during the current calendar year in which the claim arose.
- Exclusion of Certain Damages
The Company Parties are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages.
- Indemnification
You agree to indemnify, defend, and hold harmless the Company Parties from any claims related to your use of the Service or violation of these Terms.
- Arbitration Agreement and Class Action Waiver
As described above in Section 7.
- Governing Law and Venue
These Terms are governed by the laws of the State of New York.
- Survival of Terms
All liability, indemnity, and dispute resolution provisions survive termination.
9. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. Any such invalid, illegal, or unenforceable provision shall be deemed modified to the extent necessary to make it valid and enforceable while preserving the original intent.
10. Changes to Terms
We reserve the right to update these Terms at any time, with notice provided by email or via the platform.

Privacy Policy

1. Introduction
This Privacy Policy describes how Nassau Technologies, LLC (“Company,” “we,” “our,” or “us”) collects, uses, and protects personal information when you use SEYSOFT (“Service”), our cloud-based business management platform.
This Policy applies only to our U.S.-based users and is governed by U.S. federal laws and the laws of the State of New York, including the NY SHIELD Act.

Optional (after payment, for customization and usability):

We do not collect sensitive categories of personal data (such as Social Security numbers, health information, biometric data, or financial account numbers).
3. How We Collect Information
All information is collected directly from you through account registration and optional customization settings. We do not collect data from third-party sources or import customer data on your behalf.
4. How We Use Information
We use collected information solely for:
- Account creation and management
- Customer support
- Platform analytics (internal use only)
- Personalization of your account experience
We do not sell or share your personal information for marketing purposes.
5. Data Sharing
We do not share your personal data with any third parties, except:
- Stripe Payments - If you voluntarily provide payment information to Stripe during subscription checkout. Stripe operates independently and is not integrated into SEYSOFT's application.
We do not use advertisers, ad networks, or embedded third-party analytics scripts.
6. Cookies and Tracking
SEYSOFT uses cookies only for essential application functionality and session management. No third-party cookies are used.
7. User Rights and Controls
You may request:
- Data Deletion - Permanent removal of your account and associated information.
- Data Export - A copy of your account data in a portable format.
Requests can be made by emailing support@seysoft.co.
8. Data Retention
- Account data is retained for 90 days after account deletion, after which it is permanently deleted.
- No marketing data is retained.
9. Data Security
We protect your personal information through:
- TLS encryption for data in transit
- Hashed password storage
- Firewalls and access controls
- MFA for administrator accounts
- Secure coding practices (input sanitization, parameterized queries)
- Regular vulnerability scans

10. U.S. Jurisdiction Only
SEYSOFT is intended for use within the United States. We comply with U.S. federal and New York State laws. If you access the Service from outside the U.S., you are responsible for complying with local laws.

We may update this Privacy Policy from time to time. Updates will be posted to this page, and material changes will be communicated via email.

Security & Compliance Statement

At Nassau Technologies, LLC, we take the security of SEYSOFT and your data seriously. Our platform is built on industry best practices, with safeguards designed to protect against unauthorized access, misuse, and data breaches. 2. Hosting and Infrastructure
- SEYSOFT is hosted on self-managed servers physically located in New York, USA.
- All servers are located within the United States.
3. Data Protection
- In Transit: All data transmitted between you and SEYSOFT is encrypted using HTTPS/TLS.
- At Rest: Passwords are securely hashed. Other sensitive operational data is protected by access controls.
- Physical Storage: Drives are physically secured in controlled-access facilities.
4. Security Controls
We employ multiple layers of defense, including:
- Firewalls
- Multi-Factor Authentication (MFA) for administrative accounts
- Strict access controls
- SSL/TLS encryption
- Input sanitization and parameterized queries (PDO)
- Fail2Ban for intrusion prevention

7. Activity Logging
We maintain activity logs strictly for platform usability and intra-business accountability (e.g., sales, expenses, inventory changes). Logs are retained until 90 days after account deletion.
8. Incident Response and Breach Notification
If we discover a security breach affecting your personal information, we will notify affected users as soon as possible and no later than 7 days after discovery. Notifications will be sent via email and/or posted to your account dashboard.

SEYSOFT is designed for use within the United States. While we align with several international security standards, our compliance obligations are governed by:

Intellectual Property & DMCA Policy

1. Intellectual Property Ownership
All rights, title, and interest in and to the SEYSOFT platform, including but not limited to its software code, architecture, user interface, design elements, and branding, are the exclusive property of Nassau Technologies, LLC (“Company,” “we,” “our,” or “us”).
Unless otherwise expressly stated in writing, nothing in your use of SEYSOFT grants you any rights to use the Company’s trademarks, trade dress, or other intellectual property.
2. User-Generated Content (UGC)
SEYSOFT allows users to upload or post text, images, and files (“User Content”). You retain all ownership rights to your User Content, but by uploading or posting it to SEYSOFT, you grant the Company a limited, non-exclusive, worldwide, royalty-free license to store, display, and process that content solely for the purpose of operating and improving the Service.
We reserve the right to remove or disable access to any User Content at our discretion if we believe it violates these Terms, applicable law, or the rights of third parties.
3. Copyright Infringement Policy
We comply with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, and will promptly respond to properly submitted claims of copyright infringement.

5. Filing a DMCA Takedown Notice
If you believe that your copyrighted work has been infringed on SEYSOFT, please send a written notice to our DMCA Agent that includes all of the following (as required by 17 U.S.C. § 512(c)(3)):
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing, and information reasonably sufficient to permit us to locate the material.
- Your contact information, including name, address, phone number, and email address.
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner.
- Your physical or electronic signature.
6. Counter-Notification Procedure
If you believe that your material has been removed or disabled by mistake or misidentification, you may file a counter-notification with our DMCA Agent that includes:
- Identification of the material that has been removed or to which access has been disabled.
- A statement, under penalty of perjury, that you have a good faith belief that the removal or disabling was the result of mistake or misidentification.
- Your name, address, phone number, and email address.
- A statement that you consent to the jurisdiction of the federal court in the Eastern District of New York and will accept service of process from the person who provided the original takedown notice.
- Your physical or electronic signature.
Upon receipt of a valid counter-notification, we may restore the removed content unless the original complainant files a court action seeking to restrain you from engaging in infringing activity.
7. Repeat Infringer Policy
In accordance with the DMCA, SEYSOFT will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
8. Reservation of Rights
We reserve the right to take down content that we believe, in our sole discretion, violates our Terms of Service, applicable laws, or the rights of third parties, regardless of whether a formal DMCA notice has been filed.
